I am sharing my business data. How are you storing it?

Your business data is always secure. It is stored behind 5-layers of security. Also, NO SINGLE PERSON or bizaXL‘s teams are designed to access your data in a “single-go”. We have made and will continue to ensure any hacks to your data, be it from INTERNAL sources, or through EXTERNAL hacks are prevented

The person you interact with from bizaXL will establish his/her credentials when you interact. We request your acceptance of the credentials of the person/ AI-agent you interact with. Even when you interact with a human-agent from bizaXL, they DO NOT have access to your COMPLETE data, pertaining to EVEN A SINGLE TRANSACTION. Your human-agent of interaction can only invoke SmarterAI Agent to capture/ ingest your data into your own Automation-Cloud

Your data is yours. 95+% of our “Free-trial” users have seen the True-Value of the choice they have made.

bizaXL teams are designed and designated to assist and help you during the “Free Trial” period. On regularising based on the Business-value of bizaXL’s BAS, your business-data is commissioned for your usage. In case of, non-continuance of “Free Trial”, your data will be expunged totally on expiry, along with notification of expunging your-data

bizaXL’s SmarterAI agents works only for your business in your Own-Cloud. These SmarterAI agents has a defined scope to work within Your Cloud. They are constantly and consistently being developed to protect your safe-guards. Business-oriented AI can never be the same again

bizaXL has been founded by professionals with over hundreds of man-year experience of security experts. Just like Security is paramount for us, bizaXL extends the highest security for our customers too. 

Backups / Disaster Recovery

  • History of 14 full backups of each customer’s database for at least 3 months: 1/day for 7 days, 1/week for 4 weeks, 1/month for 3 months.
  • Backups replicated in at least 3 different sources.
  • You can also download manual backups of your live data at any time using the administrator login
  • You can contact our Help Desk to restore any of those backups on your live database (or on the side).
  • Hardware failover: for services hosted on bare metal, where hardware failure is possible, we implement local hot standby replication, with monitoring and a manual failover procedure.
  • Disaster recovery: in case of complete disaster, with a data centre entirely down for an extended period, preventing the failover to our local hot-standby (never happened so far, this is the worst-case plan), we have the following objectives:
    • RPO (Recovery Point Objective) = 48h. This means you can lose max 48h of work if the data cannot be recovered and we need to restore your latest daily backup.
    • RTO (Recovery Time Objective) = 24h for paid subscriptions, 48h for free trials, education offer, freemium users, etc. This is the time to restore the service in a different data centre if a disaster occurs and a datacenter is completely down.
    • How is this accomplished: we actively monitor our daily backups, and they are replicated in multiples locations on different continents. We have automated provisioning to deploy our services in a new hosting location. Restoring the data based on our backups of the previous day can then be done in a few hours (for the largest clusters), with priority for paid-subscription customers.
      We routinely use both the daily backups and provisioning scripts for daily operations, so both parts of the disaster recovery procedure are tested all the time.

Database Security

  • Customer data is stored in a dedicated database containers – no sharing of data between clients.
  • Data access control rules implement complete isolation between customer databases running on the same cluster, no access is possible from one database to another.

Password Security

  • Customer passwords are protected with industry-standard PBKDF2+SHA512 encryption (salted + stretched for thousands of rounds).
  • BizAXL staff does not have access to your password, and cannot retrieve it for you, the only option if you lose it is to reset it.
  • Login credentials are always transmitted securely over HTTPS.
  • Password policies: database administrators have a built-in setting for enforcing a minimum user password length. Other password policies like required character classes are not supported by default because they have been proven counter-productive.

Staff Access

  • bizaXL helpdesk staff may sign into your account to access settings related to your support issue. For this they use their own special staff credentials, not your password (which they have no way to know).
  • This special staff access improves efficiency and security: they can immediately reproduce the problem you are seeing, you never need to share your password, and we can audit and control staff actions separately!
  • Our Helpdesk staff strives to respect your privacy as much as possible, and only access files and settings needed to diagnose and resolve your issue.

System Security

  • All bizaXL Cloud servers are running hardened Linux distributions with up-to-date security patches.
  • Installations are ad-hoc and minimal to limit the number of services that could contain vulnerabilities.
  • Only a few trusted bizaXL engineers have clearance to remotely manage the servers – and access is only possible using an encrypted personal SSH keypair, from a computer with full-disk encryption

Physical Security

bizaXL Cloud servers are hosted in trusted data centres in various regions of the world, and they must all exceed our physical security criterions:

  • Restricted perimeter, physically accessed by authorised data centre employees only.
  • Physical access control with security badges or biometrical security.
  • Security cameras monitoring the data centre locations 24/7.
  • Security personnel on site 24/7.

Credit Card Safety

  • We never store credit card information on our own systems.
  • Your credit card information is always transmitted securely directly between you and our PCI-Compliant payment acquirers.

Data Encryption

Customer data is always transferred and stored in encrypted form (encryption in transit and at rest).

  • All data communications with client instances are protected with 256-bit SSL encryption (HTTPS).
  • All internal data communications between our servers are also protected with end-to-end encryption
  • Our servers are kept under a strict security watch, and always patched against the latest SSL vulnerabilities
  • All our SSL certificates use 2048-bit modulus with full SHA-2 certificates chains – A+ Rating
  • All customer data (database content and stored files) is encrypted at rest, both in production and in backups with AES-256

Network Defence

  • All data centre providers used by bizaXL Cloud have very large network capacities, and have designed their infrastructure to withstand the largest Distributed Denial of Service (DDoS) attacks. Their automatic and manual mitigation systems can detect and divert attack traffic at the edge of their multi-continental networks, before it gets the chance to disrupt service availability.
  • Firewalls and intrusion prevention systems on bizaXL Cloud servers help detect and block threats such as brute-force password attacks.

How is your Privacy protected?

bizaXL and its affiliates offer many services to help you run your business, that is hosted on various Cloud environments, as well as solutions deployed on an in-house or private clouds of customers. As part of running those services we collect data about you and your business. This data is not only essential to run our services, but also critical for the safety of our services and all our users.
This policy explains what information is collected, why it is collected, and how we use it.

Information that we collect

Most of the personal data we collect is directly provided by our users when they register and use our services. Other data is collected by recording interactions with our services.

Account & Contact Data: When you register on our website to use or to subscribe to one of our services, or fill in one of our contact forms, you voluntarily give us certain information. This typically includes your name, company name, email address, and sometimes your phone number, postal address (when an invoice or delivery is required),your business sector and interest in bizaXL and BAS solution Suite, as well as a personal password.
We never record or store credit card information from our customers, and always rely on trusted third-party payment providers for credit card processing, including for recurring payment processing.

Browser Data: When you visit our website and access our online services, we detect and store your browser language and geolocation in order to customise your experience according to your country and preferred language. Our servers also passively record a summary of the information sent by your browser for statistical, security and legal purposes: your IP address, the time and date of your visit and the page or resource you are accessing, your browser version and platform, and the web page that referred you to our website.
Your browser may also be used to store and retrieved your current session data, with the help of a session cookie (see also the Cookies section for more details).

Form protection: some forms on our website may be protected by Google reCAPTCHA. This technology relies on heuristics that are based on technical characteristics of your browser and device, and may also use specific Google cookies. See also Google Privacy Policy and Terms of Use in the Third Party Service Providers section below.

Customer Databases: When you subscribe to a bizaXL template, and create your own Odoo database (for example by starting a Free Trial), any information or content you submit or upload into your database is your own, and you control it fully.
Similarly, when you upload an on-premises database to the bizaXL Upgrade website, you own the data in it.
This data will often include personal information, for example: your list of employees, your contacts and customers, your messages, pictures, videos, etc. We only ever collect this information on your behalf, and you always retain ownership and full control on this data.

Free Trial Session Recording: When you start a free trial on bizaXL Cloud service, you may be offered the possibility to consent to the recording of the beginning for your free trial session in order to help us improve the user experience of our products.
If you consent, the information that is collected includes what is visible on the screen, as well as your interactions with our apps (where you click, which menu you open, etc.). This data is consolidated in the form of a video that our User Experience experts can watch for a limited time.
This will likely include some personal data such as names, emails, phone numbers, pictures, depending on what real-world information you input into your database during the recording period. Password fields and other sensitive fields are automatically excluded from the recording, but we cannot entirely exclude the possibility that some sensitive information may be recorded, depending on where you type it.

How we use this information?

Account & Contact Data: We use your contact information in order to provide our services, to answer your requests, and for billing and account management reasons. We may also use this information for marketing and communication purposes (our marketing messages always come with a way for you to opt-out at any time). We also use this data in aggregated/anonymised form in order to analyse service trends.
If you have registered to participate in an event published on our website, we may transfer your name, email address, phone number and company name to our local organiser and to the sponsors of the event for both direct marketing purposes and in order to facilitate the preparations and booking for the event.
If you have expressed interest in using bizaXL or otherwise asked to be contacted by an bizaXL partner, we may also transfer your name, email address, phone number and company name to one of our official Partners in your country or region, for the purpose of contacting you to offer their local assistance and services.

Browser Data: This automatically recorded data is anonymously analysed in order to maintain and improve our services. Google reCAPTCHA may also be used for security purposes, in order to prevent abuse of our services. In that case we only process the anonymous score that reCAPTCHA determines based on your browser and device.
We will only correlate this data with your personal data when required by law or for security purposes, if you have violated our Acceptable Use Policy.

Customer Database: We only collect and process this data on your behalf, in order to perform the services you have subscribed to, and based on the instructions you explicitly gave when you registered or configured your service.
Our Help-Desk staff and engineers may access this information in a limited and reasonable manner in order to solve any issue with our services, or at your explicit request for support reasons, or as required by law, or to ensure the security of our services in case of violation of our Acceptable Use Policy in order to keep our services secure.

Free Trial Session Recording: The purpose of these recordings is to improve our products: they will be seen and analysed solely by our R&D Usability team, who will treat your data as strictly confidential information. By watching the recordings they will be able to see a tangible representation of a user’s first steps into bizaXL’s BAS Suite and improve the User Experience accordingly.

Accessing, Updating or Deleting Your Personal Information

Account & Contact Data: You have the right to access and update personal data you have previously provided to us. You can do so at any time by connecting to your personal account on bizaXL portal. If you wish to permanently delete your account or personal information for a legitimate purpose, please contact our Helpdesk to request so. We will take all reasonable steps to permanently delete your personal information, except when we are required to keep it for legal reasons (typically, for administration, billing and tax reporting reasons).

Customer Database:You can manage any data collected in your databases that are provisioned on bizaXL Cloud at any time, using your administration credentials, including modifying or deleting any personal data stored therein.
At any time you can export a complete backup of your database via our control panel, in order to transfer it, or to manage your own backups/archive. You are responsible for processing this data in compliance with all privacy regulations.
You may also request the deletion of your entire database via your control panel, at any time.
When you use the bizaXL Database Upgrade service, your data is automatically deleted after your upgrade was successfully completed, and may also be deleted upon request from you.

Free Trial Session Recording: You may contact us at any time to request access to or deletion of the recording of your trial session (see contact info below). Recordings are automatically destroyed every month, so if your trial is older than that the data does not exist anymore.

Security

We realise how important and sensitive your personal data is, and we take a great number of measures to ensure that this information is securely processed, stored and preserved from data loss and unauthorised access. Our technical, administrative and organisational security measures are described in details in the tab Security.

Third Party Service Providers / Subprocessors

In order to support our operations we rely on several Service Providers. They help us with various services such as payment processing, web audience analysis, cloud hosting, marketing and communication, etc.

Whenever we share data with these Service Providers, we make sure that they use it in compliance with Data Protection legislation, and that the processing they carry out for us is limited to our specific purpose and covered by a specific data processing contract.

Data Retention

Account & Contact Data: We will only retain such data as long as necessary for the purpose for which it was collected, as laid out in this policy, including any legal retention period, or as long as necessary to carry out a legitimate and reasonable promotion of our products and services.

Browser Data: We may retain this data for a maximum of 12 months, unless we need to keep it in relation with a legitimate concern related to the security or performance of our services, or as required by law. Any server-side session information is discarded maximum 7 days after it stops being actively used.

Server Logs & Security Logs: We retain those logs for a maximum of 12 months, unless we need to keep them in relation with a legitimate concern related to the security or performance of our services, or as required by law.

Customer Database: We will only retain this data as long as necessary for providing the services you subscribed to. For databases hosted on the bizaXL Cloud, if you cancel the service your database is kept deactivated for 3 weeks (the grace period during which you can change your mind), and then destroyed. For databases uploaded to the bizaXL Upgrade website, your database is kept for up to 2 months after the last successful upgrade, and may be deleted earlier upon request.

Free Trial Session Recording: The recordings are automatically deleted after 1 month, and may be deleted earlier once they have been processed, or considered irrelevant, or upon request.

Third Party Disclosure

Except as explicitly mentioned above, we do not sell, trade, or otherwise transfer your personal data to third parties. SMS/text messaging opt-in is excluded from any data transfer covered above. We may share or disclose aggregated or de-identified information, for research purposes, or to discuss trends or statistics with third-parties.

Cookies

Cookies are small bits of text sent by our servers to your computer or device when you access our services. They are stored in your browser and later sent back to our servers so that we can provide contextual content. Without cookies, using the web would be a much more frustrating experience. We use them to support your activities on our website, for example your session (so you don’t have to login again) or your shopping cart.

Cookies are also used to help us understand your preferences based on previous or current activity on our website (the pages you have visited), your language and country, which enables us to provide you with improved services. We also use cookies to help us compile aggregate data about site traffic and site interaction so that we can offer better site experiences and tools in the future.

We also use third-party services such as Google Analytics, who set and use their own cookies to identify visitors and provide their own contextual services.

We may update this Privacy Policy from time to time, in order to clarify it, to reflect any changes to our website, or to comply with legal obligations. The “Last Updated” mention at the top of the policy indicates the last revision, which is also the effective date of those changes. Pricing FAQs
What are the hidden prices charged by bizaXL? What is this "truly transparent" pricing?

bizaXL’s pricing is the truly transparent and best suited pricing mechanism for true Business Acceleration. bizaXL’s pricing is basically based-upon the number of transactions that your Cloud-setup handles over a said period (monthy or annual)

Truly Transparent pricing policy is built on various experts inputs and experiences to ensure Business Acceleration rather than the size (number of employees) of your organisation or the end-users serviced by your organisation through our BAS offerings.

For Example: A 5-employee organisation may service less than 20 end-users or even 500 end-users. The number of transactions widely differs in such situations. Basing pricing on number of users will make your organisation end up paying for 20 users or 500 users, thereby ending up with higher business automation costs. bizaXL’s pricing is therefore based primarily on number of transactions and the users mentioned are indicative.

The main intent of “truly transparent” pricing is to facilitate your business growth and not worry about cost of the solution. You have the choice the choose, as well as change plans as per your cost considerations, as far as BAS solution is concerned. 

Your invoices will clearly highlight the ‘base included transactions’ along with any additional transaction during the billing period. You have the choice to evaluate our other plans and if found economically-beneficial can inform us (either through email to billing@bizaxl.com or by calling our Billing Helpdesk) to change the plan. Your plan change is effected from the following invoice.

bizAXL’s Invoicing is completely automated. Because of this automation, invoicing-errors are close to 0%.

Based on the plan and the periodicity that you choose, bizaXL Invoicing system will generate the Invoice.

Monthly Plans:

  • You are provided with a choice to choose the billing-date as 5th or 15th or 25th of the month, at the time of subscription sign-up.

  • Bills generated for 5th of the month will be required to be cleared before 15th, bills of 15th to be cleared before 25th and bills of 25th to be cleared before 5th of the following month

  • Non-clearance of bills by the dates mentioned in the previous segment will be notified by Service Deactivation notice. For the The Service Deactivation Process, refer Service Deactivation section below

Service Deactivation (Annual Billing):

  • 1st service deactivation notice: 10 days after the agreed billing cycle
  • 2nd service deactivation notice: 20 days after the agreed billing cycle
  • 3rd and final deactivation notice: 30 days after the agreed billing cycle

Service Deactivation (Monthly Billing):

  • 1st service deactivation notice: 15 days after the agreed billing cycle
  • 2nd service deactivation notice: 30 days after the agreed billing cycle
  • 3rd and final deactivation notice: 45 days after the agreed billing cycle

3rd DEACTIVATION NOTICE WILL AUTOMATICALLY TRIGGER “DATA RETENTION” POLICY

In case of exiting your subscription, bizaXL undertakes to protect and safeguard your data only up to 30 days from the date of 3rd deactivation notice. 

For exiting Data Retention policy mode, you can regularise by paying the total amount due up to the date of regularisation and your Cloud will be reinstated for access by you. 

 

bizaXL is the only solution-provider that offers Monthly and Annual billing options. No other comparable solution-providers, provide such wide-range of Pricing models. bizaXL, therefore is “truly transparent” and ONLY “Business Acceleartion Suite”

The “Services” mean the products and services that are ordered by Customer from Bizaxl Optimizations LLP in an Order Form referencing this Master Services Agreement (MSA). Services exclude any products or services provided by third parties, even if Customer has connected those products or services to the Services. Subject to the terms and conditions of this MSA, Bizaxl Optimizations LLP will make the Services available to Customer during the Term.

Fees

Customer will pay the fees specified in the Subscription Form (the “Fees”).

Payment & Taxes.

Customer shall keep a payment method on file with bizaXL Optimizations LLP for payment of Fees. bizaXL Optimizations LLP shall invoice Customer for Fees, either within the Services or directly, within thirty (30) days of the Effective Date, the start of the Renewal Term (as defined below), or otherwise as specified in the Subscription Form. Customer shall pay all invoiced Fees 

(i) charged automatically via the payment method associated with your bizaXL Optimizations LLP Account or (ii) if agreed otherwise in writing by both parties, upon receipt of such invoice. 

Fees do not include local, state, or federal taxes or duties of any kind and any such taxes will be assumed and paid by Customer, except for taxes on bizaXL Optimizations LLP based on bizaXL Optimizations LLP’s income or receipts.

Price Changes.

bizaXL Optimizations LLP may change prices for the Subscription or Services from time to time, in its sole discretion. Any price changes will be effective upon the commencement of Customer’s next Renewal Term, provided, that bizaXL Optimizations LLP shall provide Customer, with reasonable notice of any such fee increase prior to the expiration of the Term or any Renewal Term.

Discounts and Promotional Pricing

Prices specified in the Subscription Form may include discounts or promotional pricing. These discounts or promotional pricing amounts may be temporary and may expire upon the commencement of a Renewal Term, without additional notice. bizaXL Optimizations LLP reserves the right to discontinue or modify any promotion, sale or special offer at its sole and reasonable discretion.

Term and Renewal

This MSA commences on the Effective Date of start of Subscription as mentioned in the Subscription Form, and will remain in effect through the term specified in the Subscription Form, and will renew as specified in the Subscription Form unless otherwise terminated in accordance with this Section (collectively the “Term”). The minimum term of Subscription is 1 year (ONE YEAR) and will automatically renew for successive one-year periods unless Customer provides bizaXL Optimizations LLP with notice of termination at least thirty (30) days prior to the end of the Term (a.k.a “Renewal Term”).

Termination for Cause.

A Party may terminate this MSA for cause

(a) upon notice to the other Party of a material breach if such breach remains unresolved after ten (10) days from the date of the breaching Party’s receipt of such notice

(b) if the other Party becomes the subject of a petition in bankruptcy or any other proceeding relating to insolvency, receivership, liquidation or assignment for the benefit of creditors, or

(c) immediately by bizaXL Optimizations LLP if Customer makes one of the Prohibited Uses (Refer “Prohibited Uses under Ownership, Licence and Use of the Services. Non-payment of Fees by Customer for thirty (30) days after issuance of an invoice, and any violation of the Prohibited Uses clause below will be considered material breaches of this MSA.

Effect of Termination and Survival.

Upon termination of an Subscription Form or this MSA

(a) with respect to termination of the entire MSA, all Subscription Forms will concurrently terminate,

(b) Customer will have no further right to use the Services under the terminated or cancelled Subscription Forms and bizaXL Optimizations LLP will remove Customer’s access to same, and

(c) unless otherwise specified in writing, Customer will not be entitled to any refund of fees paid. The following Sections will survive termination: Section 2 (Fees and Payment), Section 5 (Confidentiality), Section 4 (Ownership), Section 7 (Disclaimers), Section 8 (Indemnification), Section 9 (Limitation of Liability), and Section 10 (Miscellaneous).

Termination of this MSA will not limit a Party’s liability for obligations accrued as of or prior to such termination or for any breach of this MSA.

Ownership

Each Party will retain all rights, title and interest in any of its patents, inventions, copyrights, trademarks, domain names, trade secrets, know-how and any other intellectual property and/or proprietary rights (“Intellectual Property Rights”). bizaXL Optimizations LLP will retain Intellectual Property Rights in the Services and all components of, or used to, provide the Services or created by the Services or by bizaXL Optimizations LLP in the course of providing the Services (the “Services Information”). Customer will retain Intellectual Property Rights in all information it provides to bizaXL Optimizations LLP, as part of this MSA, (other than Feedback as described below), including but not limited to in the course of its use of the Services (the “Customer Information”).

Feedback

Customer may, under this MSA, provide suggestions, enhancement requests, recommendations about the Services, or other feedback to bizaXL Optimizations LLP (the “Feedback”). Customer provides bizaXL Optimizations LLP a fully paid-up, royalty-free, worldwide, transferable, sub-licensable (through multiple layers), assignable, irrevocable and perpetual license to implement, use, modify, commercially exploit, incorporate into the Services, or otherwise use any Feedback.

bizaXL Optimizations LLP also reserves the right to seek intellectual property protection for any features, functionality or components that may be based on or that were initiated by such Feedback.

Licenses

bizaXL Optimizations LLP hereby grants Customer a non-exclusive, non-transferable, non-sublicensable right to and license to access and use the Services as set forth in the Subscription Form all subject to the terms and conditions of this MSA and the Subscription Form. Customer hereby grants bizaXL Optimizations LLP a non-exclusive, non-transferable, non-sublicensable right and license to use the Customer Information solely to provide the Services to Customer

Authorized Users

Customer may designate and provide access to the Services to employees, agents, or authorised contractors (each an “Authorised User”). Customer is responsible for all use and misuse of the Services by Authorised Users and for adherence to all terms of this MSA by any Authorised Users, and references to Customer herein will be deemed, to apply to Authorised Users, as necessary and applicable. Customer agrees to promptly notify bizaXL Optimizations LLP of any unauthorised access or use of which Customer becomes aware. Authorised Users are strictly prohibited from sharing their accounts or account passwords and their doing so is a material breach of this MSA by Customer

Prohibited Uses

Customer and Authorised Users will not:

(a) “frame,” distribute, resell, or permit access to the Services by any third party other than as allowed by the features and functionality of the Services

(b) use the Services in violation of applicable laws

(c) interfere with, disrupt, or gain unauthorised access to the Services

(d) successfully or otherwise, attempt to: reverse engineer, discover the underlying source code or structure of, or copy the Services

(e) provide bizaXL Optimizations LLP any Customer Information or Feedback that is unlawful, defamatory, harassing, discriminatory, or infringing of third party intellectual property rights

(f) transfer to the Services or otherwise use on the Services any code, exploit, or undisclosed feature that is designed to delete, disable, deactivate, interfere with or otherwise harm or provide unauthorised access to the Services

(g) use any robot, spider, data scraping, or extraction tool or similar mechanism with respect to the Services

(h) provide access to the Services to an individual associated with a bizaXL Optimizations LLP Competitor; or

(i) extract information from the Services in furtherance of competing with bizaXL Optimizations LLP.

A “bizaXL Optimizations LLP Competitor” is any entity that provides the same or similar goods and services to those provided by bizaXL Optimizations LLP, as would be determined by a commercially reasonable individual

If the parties have a separate mutual nondisclosure agreement, that agreement will control (the “Separate MNDA”).

Otherwise, as used herein, the “Confidential Information” of a Party (the “Disclosing Party”) means all financial, technical, or business information of the Disclosing Party that the Disclosing Party designates as confidential at the time of disclosure to the other Party (the “Receiving Party”) or that the Receiving Party reasonably should understand to be confidential based on the nature of the information or the circumstances surrounding its disclosure.

Services Information and Customer Information are Confidential Information under this MSA, or confidential under the Separate MNDA, as applicable.

Except as expressly permitted in this MSA, the Receiving Party will not disclose, duplicate, publish, transfer or otherwise make available Confidential Information of the Disclosing Party in any form to any person or entity without the Disclosing Party’s prior written consent.

The Receiving Party will not use the Disclosing Party’s Confidential Information except to perform its obligations under this MSA, such obligations including, in the case of bizaXL Optimizations LLP, to provide the Services.

Notwithstanding the foregoing, the Receiving Party may disclose Confidential Information to the extent required by law, provided that the Receiving Party:

(a) gives the Disclosing Party prior written notice of such disclosure so as to afford the Disclosing Party a reasonable opportunity to appear, object, and obtain a protective order or other appropriate relief regarding such disclosure (if such notice is not prohibited by applicable law)

(b) uses diligent efforts to limit disclosure and to obtain confidential treatment or a protective order, and

(c) allows the Disclosing Party to participate in the proceeding. Further, Confidential Information does not include any information that:

  • (i) is or becomes generally known to the public without the Receiving Party’s breach of any obligation owed to the Disclosing Party
  • (ii) was independently developed by the Receiving Party without the Receiving Party’s breach of any obligation owed to the Disclosing Party, or
  • (iii) is received from a third party who obtained such Confidential Information without any third party’s breach of any obligation owed to the Disclosing Party

SECURITY POLICY

Data Security

bizaXL Optimizations LLP encrypts data at rest and in transit for all of our customers. bizaXL uses 3rd -party tools to manage encryption keys for maximum security in line with industry best practices. Through this MSA, Customer provides the right to use any 3rd-party tool and/ or change the tool provider, with a sole-intention to ensure Customer’s data is secure

Application Security

bizaXL Optimizations LLP regularly engages some of the industry’s best application security experts for third-party penetration tests. Our penetration testers evaluate the source code, running application, and the deployed environment.

bizaXL Optimizations LLP also uses high-quality static analysis tooling to secure our solution-offering at every step of the development process.

Infrastructure Security

bizaXL Optimizations LLP uses a variety of technologies to enable our Customer’s Individual Cloud. bizaXL is equipped (and will continue to be) with Technologies involving Security and experts to ensure “the next level of Infrastructure Security”)

Sovereign Data Security

bizaXL’s offerings will ALWAYS be adhering to Sovereign Data Security requirements of customers. bizaXL reserves the right to adhere to “Data Residency“, “Legal and Regulatory Compliance” and “Sovereign Data Integrity” of the Customer.

Authority

Each Party represents that it has validly entered into this MSA and has the legal power to do so.

Warranties

bizaXL Optimizations LLP warrants that during an applicable Term

(a) the Security Statement accurately describes the applicable administrative, physical, and technical safeguards for protection of the security, confidentiality, and integrity of Customer Information, and

(b) the Services will perform materially in accordance with any applicable documentation provided to Customer. For any breach of a warranty in this section, Customer’s exclusive remedies are those described in Term and Termination section

Disclaimers

EXCEPT AS SPECIFICALLY SET FORTH IN THIS SECTION, THE SERVICES, INCLUDING ALL SERVER AND NETWORK COMPONENTS, ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND TO THE FULLEST EXTENT PERMITTED BY LAW, AND bizaXL Optimizations LLP EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, TITLE, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CUSTOMER ACKNOWLEDGES THAT bizaXL Optimizations LLP DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR FREE FROM VIRUSES OR OTHER MALICIOUS SOFTWARE, AND NO INFORMATION OR ADVICE OBTAINED BY CUSTOMER FROM bizaXL Optimizations LLP OR THROUGH THE SERVICES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THIS MSA. THE PARTIES, ADDITIONALLY AGREE THAT, bizaXL Optimizations LLP WILL HAVE NO LIABILITY OR RESPONSIBILITY FOR CLIENT’S VARIOUS COMPLIANCE PROGRAMS, AND THAT THE SERVICES, TO THE EXTENT APPLICABLE, ARE ONLY TOOLS FOR ASSISTING CLIENT IN MEETING THE VARIOUS COMPLIANCE OBLIGATIONS FOR WHICH IT SOLELY IS RESPONSIBLE. 

Indemnification by bizaXL Optimizations LLP.

bizaXL Optimizations LLP will indemnify and hold Customer harmless from any third party claim against Customer arising out of Customer’s use or purchase of the Services as permitted hereunder alleging that such Services infringe or misappropriate a third party’s valid patent, copyright, trademark, or trade secret.

bizaXL Optimizations LLP will, at its expense, defend such claim and pay damages finally awarded against Customer in connection therewith, including the reasonable fees and expenses of the attorneys engaged by bizaXL Optimizations LLP for such defense, provided that

(a) Customer promptly notifies bizaXL Optimizations LLP of the threat or notice of such claim

(b) bizaXL Optimizations LLP will have the sole and exclusive control and authority to select defence attorneys, and defend and/or settle any such claim (however, bizaXL Optimizations LLP will not settle or compromise any claim that results in liability or admission of any liability by Customer without prior written consent), and

(c) Customer fully cooperates with bizaXL Optimizations LLP in connection therewith.

If use of a Service by Customer has become, or, in bizaXL Optimizations LLP’s opinion, is likely to become, the subject of any such claim, bizaXL Optimizations LLP may, at its option and expense,

(i) procure for Customer the right to continue using the Service(s) as set forth hereunder

(ii) replace or modify a Service to make it non-infringing, or

(iii) if options (i) or (ii) are not commercially reasonable or practicable as determined by bizaXL Optimizations LLP, terminate this MSA and repay, on a pro-rata basis, any Fees previously paid to bizaXL Optimizations LLP for the corresponding unused portion of the Term for related Services.

bizaXL Optimizations LLP will have no liability or obligation under this Section with respect to any claim if such claim is caused in whole or in part by

  1. compliance with designs, data, instructions or specifications provided by Customer
  2. modification of the Services by anyone other than bizaXL Optimizations LLP, or
  3. the combination, operation or use of the Services with other hardware or software where the Services would not otherwise be infringing

The provisions of this Section state the sole, exclusive, and entire liability of bizaXL Optimizations LLP to Customer and constitute Customer’s sole remedy with respect to an infringement claim brought by reason of access to or use of a Service by Customer or Authorised Users

Indemnification by Customer.

Customer will indemnify and hold bizaXL Optimizations LLP harmless against any third party claim arising out of

(a) Prohibited Uses in breach of this MSA as set forth above, or

(b) alleging that Customer Information infringes or misappropriates a third party’s valid patent, copyright, trademark, or trade secret; provided

  • (i) bizaXL Optimizations LLP promptly notifies Customer of the threat or notice of such claim
  • (ii) Customer will have the sole and exclusive control and authority to select defence attorneys, and defend and/or settle any such claim (however, Customer will not settle or compromise any claim that results in liability or admission of any liability by bizaXL Optimizations LLP without prior written consent), and
  • (iii) bizaXL Optimizations LLP fully cooperates in connection therewith

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, under no circumstances and under no legal theory (whether in CONTRACT, TORT, NEGLIGENCE or Otherwise), will either party to this MSA, or their  AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SERVICE PROVIDERS, SUPPLIERS OR LICENSORS BE LIABLE TO THE OTHER PARTY OR any AFFILIATE, for any lost profits, lost sales OR business, lost data (being data lost in the course of transmission via Customer’s systems or Over The Internet through no fault of bizaXL Optimizations LLP), business interruption, loss of Goodwill, costs of Cover OR Replacement, or for ANY TYPE OF INDIRECT, Incidental, Special, Exemplary, Consequential OR Punitive loss or damages, OR any other Indirect loss or damages incurred by the other party OR any affiliate in connection with this MSA OR the services, regardless of WHETHER such party  has been advised of the possibility of, OR could have foreseen such damages.

NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THIS MSA,

  • Either party’s aggregate liability to the other party or any third party arising out of this msa or the services, will in no event exceed the fees paid by customer during the twelve (12) months prior, to the first event or occurrence giving rise to such liability

 

  • Provided that liability under the parties’ indemnification obligations, for breaches of confidentiality, or for damages due to prohibited uses will not in the aggregate exceed ten times that amount.

 

  • Customer acknowledges and agrees that the essential purpose of this section is to allocate the risks under this MSA between the parties and limit potential liability given the fees, which would have been substantially higher if, bizaXL Optimizations LLP, were to assume any further liability other than as set forth herein.

 

  • bizaXL Optimizations LLP has relied on these limitations in determining whether to provide customer with the rights to access and use the services provided for in this MSA.

 

  • The disclaimers, exclusions, and limitations of liability under this agreement will not apply to the extent prohibited by applicable law

 

Entire Agreement

This MSA, any active Subscription Forms, and the Separate MNDA, if applicable, constitute the entire agreement, and supersedes all prior agreements, between bizaXL Optimizations LLP and Customer regarding the subject matter hereof.

Assignment.

Either Party may, without the consent of the other Party, assign this MSA to any affiliate or in connection with any merger, change of control, or the sale of all or substantially all of such Party’s assets provided that

  1. the other Party is provided prior notice of such assignment and
  2. any such successor agrees to fulfil its obligations pursuant to this MSA. Subject to the foregoing restrictions, this MSA will be fully binding upon, inure to the benefit of and be enforceable by the Parties and their respective successors and assigns.

Severability.

If any provision in this MSA is held by a court of competent jurisdiction to be unenforceable, such provision will be modified by the court and interpreted so as to best accomplish the original provision to the fullest extent permitted by law, and the remaining provisions of this MSA will remain in effect.

Relationship of the Parties.

The Parties are independent contractors. This MSA does not create a partnership, franchise, joint venture, agency, fiduciary, or employment relationship between the Parties.

Notices.

All notices provided by bizaXL Optimizations LLP to Customer under this MSA may be delivered in writing

  • by nationally recognised overnight delivery service  to the contact mailing address provided by Customer on the Subscription Form, or
  • electronic mail to the electronic mail address provided for Customer’s account owner. Customer must give written notice to bizaXL Optimizations LLP either in writing by Courier or.

All notices shall be deemed to have been given immediately upon delivery by electronic mail, or,

  • if otherwise delivered upon the earlier of receipt or two (2) business days after being deposited in the mail or with a Courier as permitted above.

 

Governing Law, Jurisdiction, Venue.

This MSA will be governed by the laws of the Republic of India, without reference to conflict of laws principles. Any disputes under this MSA shall be resolved in a court of general jurisdiction in Bengaluru (Bangalore), India. Customer hereby expressly agrees to submit to the exclusive personal jurisdiction and venue of such courts for the purpose of resolving any dispute relating to this MSA or access to or use of the Services by Customer, its agents, or Authorised Users.

Export Compliance.

The Services and other software or components of the Services that bizaXL Optimizations LLP may provide or make available to Customer are subject to Foreign Trade (Development and Regulation) Act, 1992, as administered and enforced by the FTP (Foreign Trade Policy 2023) of Republic of India.

Customer will not access or use the Services if Customer or any Authorised Users are located in any jurisdiction in which the provision of the Services, software, or other components is prohibited under applicable Indian laws pertaining to trade and Trade Regulations, and Customer will not provide access to the Services to any government, entity, or individual located in any Prohibited Jurisdiction.

Customer represents and warrants that

(a) it is not named on any Indian government list of persons or entities prohibited from receiving Indian exports, or transacting with any non-Indian person

(b) it is not a national of, or a company registered in, any Prohibited Jurisdiction

(c) it will not permit any individuals under its control to access or use the Services in violation of any Indian or other applicable export embargoes, prohibitions or restrictions, and

(d) it will comply with all applicable laws regarding the transmission of technical data within the countries in which it and Authorised Users are located.

Anti-Corruption.

Customer represents and agrees that it has not received or been offered any illegal or improper bribe, kickback, payment, gift, or thing of value from any of bizaXL Optimizations LLP’s employees or agents in connection with this MSA.

Reasonable gifts and entertainment provided in the ordinary course of business do not violate the above restriction.

If Customer learns of any violation of the above restriction, Customer will use reasonable efforts to promptly give notice to bizaXL Optimizations LLP.

Publicity and Marketing.

 bizaXL Optimizations LLP may use Customer’s name, logo, and trademarks solely to identify Customer as a client of bizaXL Optimizations LLP on bizaXL Optimizations LLP’s website and other marketing materials and in accordance with Customer’s trademark usage guidelines. bizaXL Optimizations LLP may share aggregated and/or anonymised information regarding use of the Services with third parties for marketing purposes to develop and promote Services.

bizaXL Optimizations LLP never will disclose aggregated and/or anonymised information to a third party in a manner that would identify Customer or any identifiable individual as the source of the information.

Amendments

bizaXL Optimizations LLP may amend this MSA from time to time, in which case the new MSA will supersede prior versions. bizaXL Optimizations LLP will notify Customer not less than ten (10) days prior to the effective date of any such amendment and Customer’s continued use of the Services following the effective date of any such amendment may be relied upon by bizaXL Optimizations LLP as consent to any such amendment.

Waiver

bizaXL Optimizations LLP’s failure to enforce at any time any provision of this MSA does not constitute a waiver of that provision or of any other provision of this MSA.

bizaXL Acceptable Usage Policy

Usage of bizaXL Services is subject to this Acceptable Use Policy (AUP). This AUP is incorporated by reference into, and governed by the T&Cs. Customers who are found to be violating these rules may see their subscriptions suspended without prior notice. The subscription fees will usually not be refunded.

Illegal or Harmful Use

You may not use bizaXL Cloud services for storing, displaying, distributing or otherwise processing illegal or harmful content. This includes:

  • Illegal Activities: promoting gambling-related sites or services, or child pornography.
  • Harmful or Fraudulent Activities: Activities harmful to others, such as promoting fraudulent goods, services, schemes, or promotions (e.g., make-money-fast schemes, ponzi and pyramid schemes, phishing, false advertising, unlicensed or unauthorised financial services or trading activities, …), or engaging in other deceptive practices.
  • Infringing Content: Content that infringes the intellectual property of others.
  • Offensive Content: Content that is defamatory, obscene, abusive, invasive of privacy, or otherwise objectionable, including content that constitutes child pornography, relates to bestiality, or depicts non-consensual sex acts.
  • Harmful Content: Malicious and malware content, such as viruses, trojan horses, worms, etc.
  • Deceptive Links: Links that deceive users into visiting malicious or dangerous websites, gather affiliate visitors/clicks, or artificially inflate the reputation of other websites.
  • Spam Content: Content that is published for “black hat SEO” purposes, using tricks such a link building / link spam, keyword spam, in order to exploit the reputation of bizaXL services for promoting third-party content, goods or services.

Email Abuse

You may not use bizaXL Cloud services for spamming. This includes:

  • Unsolicited messages: sending or facilitating the distribution of unsolicited bulk emails and messages, either directly via bizaXL Cloud or indirectly via third-party email services. This includes the use of bulk emails lists. Any mass-mailing activity is subject to the applicable legal restrictions, and you must be able to show evidence of consent/opt-in for your bulk email distribution lists.
  • Spoofing: sending emails or messages with forged or obfuscated headers, or assuming an identity without the sender’s permission

Security Violations

You may not attempt to compromise bizaXL Cloud services, to access or modify content that does not belong to you, or to otherwise engage in malicious actions:

  • Unauthorised access: accessing or using any bizaXL Cloud system or service without permission
  • Security research: conducting any security research or audit on bizaXL Cloud systems without written permission to do so, including via scanners and automated tools
  • Eavesdropping: listening to or recording data that does not belong to you without permission
  • Other attacks: non-technical attacks such as social engineering, phishing, or physical attacks against anyone or any system

Network and Services Abuse

You may not abuse the resources and systems of bizaXL Cloud. In particular the following activities are prohibited:

  • Network abuse: causing Denial of Service (DoS) by flooding systems with network traffic that slows down the system makes it unreachable, or significantly impacts the quality of service
  • Unthrottled RPC/API calls: sending large numbers of RPC or remote API calls to our systems without appropriate throttling, with the risk of impacting the quality of service for other users.
    Note: bizaXL provides batch APIs for imports, so there should be no need for this. Throttled calls are typically acceptable for unsustained usage at a rate of 1 call/second, with no parallel calls. 
  • Overloading: voluntarily impacting the performance or availability of systems with abnormal content such as very large data quantities, or very large numbers of elements to process, such as email bombs.
  • Crawling: automatically crawling resources in a way that impacts the availability and performance of the systems
  • Attacking: using the bizaXL Cloud services to attack, crawl or otherwise impact the availability or security of third-party systems
  • Abusive registrations: using automated tools to repeatedly register or subscribe to bizaXL Cloud services, or registering or subscribing with fake credentials, or under the name of someone else without their permission.

Reporting Abuse

Reports for any abusive behaviour using bizaXL services will be sent as email from bizaxl.com domain 

bizaXL Hosting Service Level Agreement

Availability and reliability objectives for databases hosted

Uptime - 99.9%

  • Customer databases are hosted in the chosen bizaXL hosting region: (see Privacy Policy for more info)
  • Our hosting providers guarantee a minimum of 99.9% uptime, and we align our monthly uptime target accordingly (three nines, excluding planned maintenance) * † ‡
  • A 99.9% monthly uptime target corresponds to a maximum of 45 minutes of unplanned downtime per month * † ‡
  • In practice, we consistently exceed this target, as our hosting providers typically outperform their own SLA commitments as well

High Availability

  • Our data centers are Tier-III certified or equivalent, with N+1 redundancy for power and network
  • Each SaaS customer database is replicated in near real-time on redundant storage within the same geographical region, enabling rapid failover in the event of hardware failure, with minimal to no data loss.

Backup & Disaster Recovery

  • 14 full backups for at least 3 months: 1/day for 7 days, 1/week for 4 weeks, 1/month for 3+ months.
  • Backups replicated on at least 3 different machines in different data centers in Europe and Canada, with a fourth frozen copy in an immutable cold storage. It is not possible to choose or restrict the regions where backups are replicated.
  • Users can download manual backups of their live data at any time
  • For a permanent disaster impacting one server only, our Disaster Recovery Plan has the following objectives:
    • RPO (Recovery Point Objective): 24h, i.e. you can lose a maximum of 24h of work (for Odoo SaaS it should be near zero)
    • RTO (Recovery Time Objective): 6h, i.e the service should be back online within 6 hours
  • For data center disasters (one data center completely and permanently down), our Disaster Recovery Plan has these objectives:
    • RPO (Recovery Point Objective): 24h, i.e. you can lose a maximum of 24h of work
    • RTO (Recovery Time Objective): 24h, i.e. the service will be restored from the backup within 24 hours in another data center

The safety of your data is very important to us, and we design our systems and procedures to guarantee it.

  • Encryption: customer data is encrypted at rest using industry-standard encryption methods, as well as in transit through HTTPS. All web connections are protected with 256-bit TLS (HTTPS with 2048-bit modulus SSL certificates), and running regularly tested TLS configurations.
  • Reliable Platform – Data centres with full hardware guarantee, redundant data storage, network and electrical supplies
  • Passwords – Customer passwords are protected with industry-standard PBKDF2+SHA512 encryption (salted + stretched for thousands of rounds).
  • Safe, hardened systems – Our servers are running minimal, hardened standardized system images and configuration sets, based on modern Linux distributions, with unattended automatic security patches, protected by firewalls and intrusion countermeasures.
  • Isolation – Client data stored in dedicated databases – no sharing of data between clients, no access possible from one database to another
